Job Description:

Senior Transaction Manager (New York, NY): Our client, a leading credit and real estate focused alternative asset management firm with north of $10B AUM, is seeking an attorney to join their growing legal team. This individual will work closely with both the General Counsel and Chief Transaction Counsel.

Responsibilities:

  • Structure, close and securitize the firm s commercial real estate loan originations
  • Track closing process and progress of all transactions in house
  • Assist Asset Management with loan amendments, modifications and workouts
  • Review and approve loan documentation, purchase and sale agreements and legal diligence prior to every closing
  • Review and approve securitization documentation, including confirmation of related representations and DDQ information
  • Negotiate warehouse and similar financing arrangements for Firm's assets
  • Draft and/or review other legal documents, including confidentiality agreements, third party engagement letters, scopes of work, etc.
  • Be a resource to CRE group, with focus on origination deal teams, on issues with legal and other ramifications

Qualifications:

  • JD required
  • 3 - 6 years of relevant experience in private practice
  • Experience working on commercial real estate debt and equity transactions and documents
  • Experience with real estate asset management, including loan modifications, workouts and sales, as well as real property dispositions
  • Knowledge of corporate structures and documentation, including REIT formation
  • Ability to take initiative/ownership/responsibility of work product

Total compensation - base plus bonus - will align with a candidate's Big Law class year.
