Paralegal - Americas
Our client, a global fintech company, is looking for a Paralegal to join their team.
What youll focus on:
Contract Management:
- Draft, process, and proofread contracts, ensuring they align with standard forms.
- Prepare and revise client contract amendments and statements of work according to the playbook.
- Handle contract-related correspondence, including distributing contract drafts and execution versions to counterparties.
- Create issues tables to facilitate contract negotiations.
- Coordinate the internal signature process.
- Manage files, including daily filing and organization.
- Conduct proofreading of English language contracts.
- Collaborate with colleagues on contract-related matters.
Corporate and Internal Affairs:
- Assist with corporate and internal matters, including organizing and managing corporate documentation.
- Conduct ad hoc legal research on corporate topics, including liaising with external counsel when necessary.
- Assist in engaging and managing external legal counsel.
General:
- Maintain legal matters and data/records management.
- Manage lists of ongoing matters in the Americas and provide organizational support to the Americas General Counsel.
- Coordinate meetings and perform general administrative duties.
Who you are:
- Legal training with experience as a paralegal focusing on contract administration and management. Paralegal certification (e.g., NFPA, NALA) is a plus.
- Ability to understand commercial proposals and translate them into standard templates.
- Proficient in proofreading with extensive experience.
- Excellent skills in MS Word and data management.
- Familiarity with drafting aspects of software license agreements, amendments and statements of work (including detailed commercial exhibits and provisions) is a plus.
- Previous work experience with a software or technology company, or with a law firm department providing intellectual property law and/or technology law services, is desirable.
- Exceptional proficiency in the English language, including reading, writing, and communication.
- Proficiency in French, Spanish, or Portuguese is a plus.
