Conduent is looking for corporate development professionals with strong M&A experience from other corporate teams, investment banks, Big 4 accounting, or consulting firms interested in joining an industry leader focused on M&A. Job Responsibilities:

Mergers & Acquisitions Analyst II, Corporate Development role is for an individual who can perform and deliver results at truly exceptional levels. In this role, you will help with development and execution of acquisitions, divestitures and joint ventures. The role will support the Companys global M&A priorities. This position is an excellent opportunity to join a team that influences long-term company-wide investment initiatives. Duties include:

  • Lead or participate in transaction execution including identification of potential acquisition targets, valuation, due diligence, executive committee approvals. Work closely with business teams, internal functional experts (legal, finance, tax, etc.), and outside advisors to lead execution.
  • Collaborate with business leaders across the Company to assess and prioritize Merger & Acquisition transactions / partnerships to best align with corporate strategy and growth objectives.
  • Perform financial analysis for merger and acquisition opportunities: develop projections, pro forma financial models, valuation analysis, and synergy models in support of potential transactions.
  • Create and deliver high quality presentation materials and reports to business unit leaders and senior corporate executives or board of directors.
  • Lead the preparation of marketing materials and facilitating diligence, as required.
  • Support negotiations of transaction terms and legal documentation.

Qualifications:

  • Undergraduate degree.
  • 2+ years of M&A, investment banking, corporate development, transaction advisory, Big 4 accounting, or consulting
  • Strong quantitative and analytical skills. Advanced modeling skills, with ability to work with others in complex tasks and review work products.
  • Ability to synthesize data into meaningful conclusions and recommendations.
  • Strong project management skills with the ability to manage multiple priorities given aggressive timelines; comfortable performing in a fast paced, dynamic environment, managing both internal and external resources; flexibility to manage projects across time zones and adapt certain approaches to different cultures and working styles.
  • Broad financial acumen including a strong foundation in accounting and corporate finance principles (comprehensive understanding of valuation methodologies).
  • Flexibility in work schedule to ensure overlap with global team members.
  • Desire to learn about the dynamics and trends of the business services industry and latest technology trends.
  • Intellectual curiosity and passion to build a best-of-class M&A brand.
  • Willingness to challenge assumptions and the status quo to help establish best practices and leading M&A capabilities as a team
