Support the financing documentation function operations through the ongoing negotiation, drafting and review of CBNA's commercial credit transactions.
Essential Duties and Responsibilities:
- Represent organization on a broad range of bank financed credit transactions including senior, secured, subordinated or unsecured, syndicated or bilateral credit agreements, multicurrency facilities, letters of credit, receivables and asset-based financings, project finance, public finance, aircraft, acquisitions and restructurings, bankruptcy and workout matters, international trade finance, private equity and structured financings advise and represent on secondary market transactions
- Provide general legal advice to operating areas as well as specific advice on products, services and certain legal actions.
- Provide ongoing legal support for U.S. subsidiaries of the bank
- Assist in a variety of related areas involving CBNA operations including litigation, securities, insolvency matters, regulatory, compliance, general contract matters and general corporate
Experience /Qualifications/Education:
- 3 to 7 years of corporate banking / financial services law (major international law firm or in-house counsel
- Law school graduate
- Admitted to New York Bar
- Experience in all types of bank financed credit transactions including senior, secured, subordinated or unsecured, syndicated or bilateral credit agreements, multicurrency facilities, letters of credit, receivables and asset-based financings, project finance, public finance, aircraft, acquisition/LBO financings, international trade finance, and structured financings.
