We have been retained by a high growth private equity portfolio company looking to hire their first General Counsel, reporting to the CEO.
The General Counsel will be responsible for management and development of the firm s in-house legal function and legal activities which includes but is not limited to real estate transactions including leasing, acquisition and development, corporate, commercial agreements and strategic partnerships, compliance and ethics. This is a hands-on position that requires managerial skills along with the ability to be detail-oriented and to provide guidance including developing and implementing policies and procedures.
Key Responsibilities Include
Commercial and Transactions:
Drive negotiation and documentation of the end to end legal process for corporate and real estate transactional matters including leasing, licensing and partnership related agreements
Collaborate with the business to construct, renew and enhance robust contractual agreements including leases & partnerships, negotiate terms with counterparties and protect the company s interests
Negotiate complex commercial contracts (software & services procurement & licensing)
Collaborate with executives and teams across mergers, acquisitions, divestitures, JVs and other strategic transactions
Corporate Governance:
Provide legal guidance and counsel on all administrative aspects surrounding the company
Advise the Board of Directors including on mandatory Board reporting
Ensure adherence to and maintain an up-to-date, robust Corporate Governance policy framework
Advise on compliance matters including anticorruption, data privacy, cyber security, international trade and supplier certification
Maintain a compliance strategy with business conduct laws including antibribery, anti money laundering and sanctions and asset control laws along with license & permits.
Ensure specific performance against all existing commercial contracts, with a focus on transaction related business and employee related matters
Implement and maintain internal policies & procedures across functions, including:
o Company code of conduct/ethics, health and safety matters and related employee training, procedures and controls
o Reporting procedures for violations of policy/law, including whistleblower procedures (e.g., whistleblower hotline)
o Establish responsible advertising policies, procedures and controls
Regulatory / Government:
Ensure all legal related transactional reporting requirements are met across the deal cycle, including maintaining document management systems & processes
Engage with lobbyists and government/regulatory consulting firms to advance business efforts and maintain compliance with real estate and municipal regulations, guidance, etc.
Litigation:
Collaborate with appropriate outside counsel & financial sponsor legal teams for any prevailing matters, ensuring that the optimal team is staffed to resolve any issues
Education And Other Key Qualifications:
A minimum of 10 + years of a proven track record of success and deep expertise across the in-house legal function with financial sponsor experience and training from private practice.
Experience in high-growth private equity / sponsor environment (or in a high-growth, autonomous business unit).
The ability to operate in a fast-paced, autonomous environment with a sense of urgency and resourcefulness. Ability to work with deadlines and a changing environment.
The role will be based in New York City with preference for 4+ days of in-office attendance.
