The successful candidate will possess a minimum of 7 years of in-house corporate paralegal experience, preferably within the banking or financial services industry. This role offers an exciting opportunity to contribute to the maintenance of legal compliance and governance standards for our organization.Responsibilities:
    • Corporate Records Review: Conduct thorough reviews of corporate records and documents for subsidiary entities, ensuring compliance with regulatory requirements and internal policies.
    • Due Diligence: Perform due diligence tasks related to corporate transactions, including mergers, acquisitions, and divestitures, ensuring accuracy and completeness of documentation.
    • Legal Compliance: Assist in maintaining legal compliance for subsidiary entities, including adherence to corporate governance standards, regulatory filings, and corporate formalities.
    • Document Management: Manage and organize corporate records, including articles of incorporation, bylaws, board resolutions, and corporate contracts, ensuring accessibility and accuracy of information.
    • Communication: Liaise with internal stakeholders, including legal counsel, compliance officers, and corporate officers, to communicate findings, address inquiries, and facilitate decision-making processes.
    • Reporting: Prepare reports and summaries of corporate records reviews, highlighting key findings, discrepancies, and recommendations for remedial action.
    • Collaboration: Collaborate with cross-functional teams, including legal, compliance, and finance departments, to support corporate governance initiatives and special projects as needed.
    • Continuous Improvement: Identify opportunities for process improvements and efficiencies in corporate record-keeping and due diligence practices, contributing to the enhancement of overall operational effectiveness.
    Qualifications:
    • Bachelor's degree in Paralegal Studies, Legal Studies, or related field.
    • Minimum of 7 years of progressive experience as a corporate paralegal within a large financial institution or similar corporate environment.
    • Strong knowledge of corporate governance principles, regulatory requirements, and legal compliance standards within the banking industry.
    • Proficiency in conducting legal research, analyzing corporate documents, and preparing comprehensive reports.
    • Excellent organizational skills with meticulous attention to detail and accuracy in document management.
    • Effective communication and interpersonal skills, with the ability to collaborate cross-functionally and interact with stakeholders at all levels.
    • Proficiency in MS Office Suite and legal research databases.
    • Certification as a paralegal is preferred but not required.
