Job Description:

A developing renewable energy company, committed to driving sustainable energy solutions for a greener future, is looking to add a Corporate Counsel to the team. With a specialty in developing, constructing, and operating solar projects, the company takes pride in contributing to a cleaner environment and a more sustainable world.

As Corporate Counsel, you will play a pivotal role in driving and coordinating legal affairs for the company and its projects. You will be responsible for overseeing the review, negotiation, and management of contracts, as well as coordinating and responding to various legal requests from internal and external stakeholders. This role requires a proactive self-starter with exceptional attention to detail and a strong background in renewable energy, finance, and transactional corporate law.

Responsibilities:

  • Draft, review, and negotiate a diverse range of company contracts, including power purchase agreements (PPA), engineering, procurement, and construction (EPC) agreements, operations and maintenance (O&M) agreements, real estate agreements, nondisclosure agreements, professional services agreements, and tax equity and other debt and equity financing agreements.
  • Ensure compliance with legal, contractual, and risk management policies to minimize corporate liability, manage risk, and optimize contract value.
  • Recommend alternative actions to align with corporate policies and strategies as necessary.
  • Conduct periodic internal administrative audits, including review of corporate documents, contracts, employment, intellectual property, and insurance matters.
  • Coordinate with, manage, and oversee outside counsel as needed.
  • Oversee compliance with applicable statutes and regulations, review relevant laws and regulations, and provide legal advice accordingly.
  • Assist the company with administrative and judicial proceedings as required.
  • Maintain up-to-date knowledge of federal, state, and local laws relevant to the renewable energy industry.

Qualifications:

  • Juris Doctor (JD) law degree and license to practice law in the United States.
  • 3-5 years of legal experience, preferably in a large law firm or in-house legal department specializing in renewable energy, finance, and/or transactional corporate law.
  • Capability to collaborate effectively with all levels of management.
  • Strong organizational, problem-solving, and analytical skills.
  • Self-starter with acute attention to detail.
  • Demonstrated ability to manage priorities and workflow effectively.
  • Proven ability to work on complex projects with general direction and minimal guidance.
