Job Description Summary

We are looking for a digital savvy to support our Legal Entity Governance Team as global professional / database administrator with basic knowledge of corporate governance matters and legal entity management.

This role will be responsible for, among other things, (i) managing legal entity governance tools, databases and platforms, (ii) implementing entity data maintenance and updates (e.g. shareholder structure, subsidiaries, directors and officers information) in close collaboration with local entity governance experts, (iii) support preparation and workflow management regarding legal entity document requests, i.e. power of attorneys, and assisting with other document preparation and retrieval tasks, including to obtain signatures from legal entities directors, (iv) supporting in record keeping and archiving of all legal entity-related documents and licenses, and (v) supporting in various project activities.

The fundamental goal of this role is to ensure that the legal entity database environment is always operational and performing optimally and that legal entity-related documentation is properly maintained. This role requires strong organizational and collaboration skills; partnering with numerous global Legal Entity Governance Team Members and internal and external stakeholders is a must for success.

Job Description

Roles and Responsibilities:

  • Provide administrative support to Legal Entity Governance Team by managing and maintaining various legal tools, databases, and platforms.

  • Independently implement day-to-day requests regarding maintenance and update of entity governance database, including registration of directors and officers, names and addresses of legal entities and subsidiaries as well as shareholder structure, in any case in close alignment with a global Legal Entity Governance Team Member.

  • Support timely update of (commercial) licenses and commercial registers and archiving of related documents.

  • Support drafting process for legal documents, e.g. by coordinating the involvement of relevant business stakeholders and approvers, and digital document storage in entity governance databases.

  • Continuously partner with GLP Operations Team on improvements of tools and databases, including those used to track powers of attorney, legal entities data, and legal entity documents.

  • Manage document structuring and digital archiving of all entity-related documents globally.

  • Drive digital request workflow to support drafting of powers of attorney and other delegation documents, e.g. by obtaining relevant information from business stakeholder, adaptation of templates, initiation of approvals and execution of documents as well as archiving thereof.

  • Support various business teams by providing legal entity documentation for know-your-customer (KYC) purposes or in support of commercial bids, proposals and other deal activities, e.g. overviews on legal entity structure, commercial register excerpts, etc.

  • Project management related to small-scale restructurings (e.g. business development activities, support integration of acquisition entities and/or structure simplification efforts); manage project documentation.

  • Support coordination, onboarding and administration of external providers and law firms involved in legal entity governance matters as well as on document retrieval, exchange, and archiving.

  • Support in a matrix environment, including supporting cross functional teams (Tax, BD, HR, Finance, Commercial) to drive legal processes and improvements thereof.

  • Support in the development of training materials and entity governance-related business updates and presentations, as well as entity governance-related guidelines and procedures.

  • Support special projects and assume additional responsibilities within the scope of the Entity Governance Team. Responsibilities, including to provide legal entity governance support for individual countries or country clusters, may expand.

Required Qualifications:

  • 3 or more years of experience supporting a Legal Entity Governance Team as global professional / database administrator with basic knowledge of corporate governance matters and legal entity management.

  • Relevant experience acquired in a law firm or in-house legal department, including: Experience working with document and data management systems, databases, and platforms. Experience working with global teams. Experience working with virtual teams.

  • Must be fluent in English, the ability to speak an additional language is considered an advantage.

For U.S. based positions only, the pay range for this position is $90,640.00-$135,960.00 Annual. It is not typical for an individual to be hired at or near the top of the pay range and compensation decisions are dependent on the facts and circumstances of each case. The specific compensation offered to a candidate may be influenced by a variety of factors including skills, qualifications, experience and location. In addition, this position may also be eligible to earn performance based incentive compensation, which may include cash bonus(es) and/or long term incentives (LTI).
