Ensemble Performing Arts, a high-growth consolidator of performing arts businesses, is seeking an experienced corporate lawyer for a Corporate Counsel role to help us execute our roll-up strategy and provide legal support to our operating businesses. This is a fully remote position, and the work schedule is flexible (minimum of 25 hours per week, up to full-time).

Key responsibilities:

• Take a lead role through the entire deal life cycle and guide deals from the negotiation of NDAs and LOIs through due diligence and definitive documentation to closing and integration
• Be a trusted business partner to our operating businesses
• Advise on operational, regulatory, compliance and other legal matters
• Have primary responsibility for reviewing, drafting and negotiating commercial agreements
• Manage outside legal resources, as needed

Qualifications and Requirements:

• At least 3 years of M&A experience working in a law firm and/or in-house
• Law degree from an accredited law school and membership with a U.S. state bar; membership with a Canadian provincial bar is a plus
• Self-motivated, detail-oriented and organized work approach
• A proven legal professional with practical business judgment

The expected compensation for this position is $100/hr. A 401(k) with employer matching is available after 90 days with us.
