We are seeking an experienced and dynamic Corporate Counsel to join our legal team on the. As a corporate counsel, you will play a pivotal role in providing legal support for our company's global operations. The successful candidate will be a business-savvy lawyer, capable of operating independently and contributing to the growth of Nexxen s business through strategic legal guidance. We are looking for a candidate that can be flexible and work across multiple workstreams including corporate governance, commercial, compliance, and privacy.

What You ll Do:

Legal Review and Contract Drafting: Review, draft, and negotiate a wide range of vendor and commercial agreements, including but not limited to master service agreements, SOWs, insertion order (IO) agreements, and Influencer contracts. Provide clear, concise, and strategic legal advice to internal stakeholders while ensuring alignment with the company's risk profile and business objectives. Assist with contract lifecycle management.

Compliance: Assist in the development, implementation, and maintenance of the Nexxen s compliance program, ensuring adherence to relevant laws, regulations, and industry standards (with a focus on advertising and data privacy). Maintain accurate records of compliance activities (including critical external and internal milestone dates), audits, assessments, and other relevant documentation.

Privacy: Support the privacy program including developing privacy policies, training and awareness programs, tools, guidance, and related policies, collaborating with cross-functional teams to conduct and complete data protection/privacy impact assessments, transfer impact assessments, and similar assessments for new projects, products, and initiatives, provide support for privacy-by-design, and incident response. Negotiated data processing addendums (DPAs).

Corporate Governance: Assist the teams with entity and corporate governance requirements including entity management, entity liquidations and ongoing regulatory reporting obligations.

Business Partnership: Collaborate closely with cross-functional teams, including Sales, Business Development, Product Management, and Finance and provide timely legal support. Serve as a trusted advisor to business teams, balancing legal considerations with practical business needs.

  • Risk Assessment and Mitigation: Conduct thorough risk assessments for proposed business activities and transactions. Develop creative and effective solutions to mitigate risks while facilitating business growth and innovation.
  • Training and Knowledge Sharing: Educate internal teams about legal matters related to the ad tech industry, including regulatory compliance, intellectual property, data protection, and contract best practices. Distill and communicate complex legal concepts in layman s terms.
  • Vendor Management: Manage relationships with external vendors and legal partners, ensuring timely and efficient execution of agreements and legal projects.
  • Continuous Improvement: Stay up-to-date with industry trends, regulatory changes, and emerging legal issues within the ad tech sector. Proactively identify areas for process improvement and contribute to the development of best practices and standard contract templates.

What Will I Bring?

  • Juris Doctor (J.D.) degree from an accredited law school and active membership in good standing with the relevant State Bar.
  • 4-8 years of experience practicing law in an internationally/nationally-recognized law firm or in-house legal department (a mix of law firm and in-house experience is preferred)
  • Experience in the advertising or ad tech industry, technology transactions, or related fields is not required but is strongly preferred.
  • Solid foundation in negotiating complex contracts and the ability to identify and solve for potential legal and business issues present therein,
  • Ability to draft and close agreements independently with minimal supervision, once adequately trained.
  • Privacy certification (CIPP/US, CIPM) and experience a plus.
  • Excellent analytical, problem-solving, and decision-making skills.
  • Demonstrated success in working in a fast-paced environment, including handling a number of projects, with the ability to organize, prioritize and drive projects from start to finish.
  • Exceptional communication and interpersonal skills, with the ability to communicate legal issues and solutions clearly and concisely, and build strong working relationships across departments and regions.
  • Willingness to learn new subject matters quickly.

In support of pay transparency and equity, the minimum and maximum full-time annual base salary for this role in New York is$125,000 - $160,000 at the time of posting. While this is our reasonable expectation this is not a guarantee of compensation or salary, actual compensation is influenced by a wide range of factors including but not limited to skill set, level of experience, education, certifications, responsibility, and geographic location.Candidates hired to work in other locations will be subject to the pay range associated with that location.
