The position will report to the Associate General Counsel and will be primarily responsible for the preparation, negotiation and control of most corporate contracts; assist with some compliance matters; and support the companys mergers and acquisition activity, including managing and conducting due diligence, contract review and negotiation, and provide contract training to business associates throughout the organization.ResponsibilitiesPrepare and/or reviews contracts involving various substantive areas of law: including, but not limited to, commercial, real estate, compliance, licensing and employmentProvide corporate governance advice to the organization, including preparation of policies.Assist in the companys acquisition activity (primarily due diligence)Enhance the effectiveness of the legal department through the participation in staff meetings, training, and the positive interaction with internal and external clientsUnderstanding of the companys business strategyResponsible for foreseeing and protecting the company against legal risksProvide support in non-transactional legal matters, as neededQualificationsMust be able to read, analyze and interpret complex documentsMust have good communication and interpersonal skillsMust be a self- starter with a good business sense and a sense of urgency, honesty and fairnessMust have the ability to respond effectively toa wide range of transactional inquiriesSecond Language, Spanish and / or Mandarin is a plusEducation & ExperienceMust be a graduate of an accredited law schoolMust be admitted to the New York state bar5 to 10 years of experience in a corporate or law firm setting; in-house experience a plusMust have experience with commercial, real estate, contract and corporate lawExperience with corporate governance is a plusTravelLess than 5%What We OfferComprehensive benefits include:Medical, dental, and vision insurance programs401K plans with employer-matching contributionsTuition reimbursementPTOPaid holidaysVolunteer time offFor more information about benefits, please go to: is an EEO/AA Employer.
