Company Overview:
Our Client is a rapidly expanding organization in the mining industry, slated to be listed on the Nasdaq Stock Market. We are seeking a seasoned Chief Financial Officer with substantial experience in financial leadership roles within publicly traded companies. The CFO will play a critical role in partnering with the senior leadership team to drive the company's strategic financial initiatives.
Key Responsibilities
Setup and Intial Resposibilities
- SPAC formation and initial infrastructure, governing documents
- Completing initial registrations with the SEC
- Account for initial capital raise, and share transactions.
- Help lead M&A activity, liaising with sponsors and the Board
Capital Markets and Funding
- Lead the company's transactional activities for the Nasdaq listing, including due diligence, documentation, and compliance with regulatory requirements, for target acquisition.
- Establish credibility with the financial markets as the keeper of the company's financial pulse.
- Manage relationships with investment banks, financial advisors, and investors.
Post SPAC: Managing Ongoing Operations:
- Oversee the management and coordination of all fiscal activities for the company including accounting, finance, organization-wide budgets, internal controls, tax planning in conjunction with the executive team.
- Corporate Governance and Sarbanes-Oxley Act (SOX) and internal controls
- Responsible for SEC Filings, Financial Statements, including awareness of Public Company Accounting Oversight Board (PCAOB) standards
General Responsibilities
- Represent the company with investment bankers, investors, attorneys, auditors, and other external financial and regulatory bodies.
Experience
- Bachelor s degree in Accounting, Finance or related field; MBA and/or CPA highly preferred.
- Highly experienced, having previously held a senior management role within a publicly traded company.
- Experience in SPAC Accounting, i.e. Identifying the accounting acquirer
- Experience accounting for shares, warrants, and other financial instruments issued by a SPAC.
- Experience classifying share-settleable earnout arrangements, and share-based payments
- Proven track record of success in facilitating progressive organizational change and development within a growing organization.
- Excellent judgment and creative problem-solving skills including negotiation and conflict resolution skills.
- Strong mentoring and coaching experience for a team with diverse levels of expertise.
- Superior management skills; ability to influence and engage direct and indirect reports and peers.
- Comfortable working with large, complex data sets and financial models.
- Thorough understanding of corporate financial planning, reporting & analysis, and costing/profitability methodologies and processes.
- Knowledge of federal financial regulations, including SEC requirements, Financial Reporting and the Sarbanes-Oxley Act.
